1) To hit it with a Spy and thereby gain technology.

deep in enemy territory; you could offer to return it in exchange for a
peace treaty, or in exchange for money, etc., knowing that you won't be
able to hold it for long, but that the enemy would incur considerable
losses in retaking it and therefore might prefer a diplomatic solution).

3) Logistical considerations (if the city is very far away from you, and
pushes you over a happiness threshold, it may cost you more to keep the
city than you could hope to gain from it; in that case, you might give it
to an allied nation to whom it could be of more benefit, in exchange for
money or other valuables).

4) Tactical considerations.  (If the city is exposed to enemy Spies who
could steal tech from it, you might choose to trade it to a player who
is allied or at peace with your enemy; this would keep your tech out of
enemy hands.  Likewise, if the city is close to your territory but under
siege by enemies who might use it as a beach-head for a full invasion,
you might prefer to give the city to a neutral player (allied/peace with
your enemy) so that the enemy won't capture it and fill it with troops
right on the border of your nation.  This is even more important since
you can't just destroy the city yourself, as you can in some other games.)
