I've used XP quite a bit first-hand.  My impression is that it's Windows
2000 with a Toys-R-Us skin.
My preference is to change it from the default XP skin to a Win2k
look-alike skin.  After doing that, it's almost undistinguishable from
W2k--even the location of most options in the control panel and throughout
are nearly identical.
