Michael,

I work for Lucent, and I've seen some internal
discussions between the group that produced that modem
chipset and some internal open-source advocates. 
Basically, some of us are saying that they should open
source the driver code, but the modem group is afraid
that open sourcing the code will give other
"Lin-Modem" manufacturers a big boost.  I won't
comment on the wisdom of Lucent's current stance, but
I can tell you that you will probably never find any
way to recompile the source for your version of the
kernel.  At best, they may release a module built for
your version of the kernel sometime in the future.

If you can't force the module to load in your kernel,
you'll have to recompile your kernel using the older
kernel source... I guess I shouldn't hold my breath
waiting for you to do it.

This won't be much consolation to you, but I expect
that the linux driver's main purpose is to allow
Dell/IBM/whomever to use Lucent based modems in
systems that come preinstalled with Linux.
