I had the exact same thing happening to me two nights ago!
Does it take a long time to send the init string, too?
(SEND atz)
(30 seconds later)
(OK)
(dial)
(CONNECT)
(stuff you got above)

Turns out I had the wrong IRQ/ioport settings (I had just moved the
modem from one computer to another). Somethin' to look at, anyway.
Also, double check the /dev/ files ... if pppd is looking for
/dev/modem, make sure that's linked to the right ttyS?
